1. Overview
The terms and conditions laid out in this document(hereinafter "Terms and Conditions") is applicable only to doctors ( hereinafter referred to as "Doctors") using the application and web services of Heartbit (or hereinafter, "Heartbit Platform"). Along with these Terms and Conditions for Doctors, the Terms and Conditions for Users, available on Heartbit Platform, will also apply to Doctors. Therefore these Terms and Conditions stipulate, along with Terms and Conditions for Users, the legal and contractual relationship between Heartbit and Doctors. In the case of any discrepancies between the two sets of Terms and Conditions, this document for Doctors shall prevail.
2. Representations and Warranties
2.1. You represent and warrant that you will use Heartbit Platform in accordance with applicable law. Any contravention of applicable law as a result of your use of Heartbit Platform is your sole responsibility, and Heartbit accepts no liability for the same.
2.2. The Doctor is and shall be duly registered, licensed and qualified to practice medicine, and/or to provide health care, wellness services, in accordance with the applicable statute, with its regulations and guidelines, of the nation of his or her residence.
2.3. The Doctor shall provide general information only, not medical advice. They shall not diagnose, treat, or recommend treatment or a course of action that should only be performed or recommended after an in-person examination or meeting, and they shall not act in a manner or engage in a form of communication that would establish a professional-client relationship on the Platform; however, they may do so outside of the Platform.
2.4 EMERGENCY QUESTIONS AND CRISIS SITUATIONS should not be directed to the Platform and should, instead be directed immediately by telephone or in-person to qualified professionals (e.g., in the U.S., call 911). The Platform is not the appropriate venue to deal with such situations.
3. Listing Policy
3.1. Heartbit, directly and indirectly, collects information regarding the Doctors’ profiles, contact details, and practice. Heartbit reserves the right to take down any Doctor’s profile as well as the right to display the profile of the Doctors, with or without notice to the concerned Doctor. This information is collected for the purpose of facilitating interaction with the Users. If any information displayed on the Website or App in connection with you and your profile is found to be incorrect, you are required to inform Heartbit immediately to make necessary amendments.
3.2. Heartbit shall not be liable or responsible for the ranking of the Doctors on external websites and search engines.
3.3. Doctors explicitly agree that Heartbit reserves the right to publish the Content provided by Heartbit to a third party including content platforms.
3.4. You as a Doctor hereby represent and warrant that you will use Heartbit Platform in accordance with applicable law. Any contravention of applicable law as a result of your use of these services is your sole responsibility, and Heartbit accepts no liability for the same.
4. Profile Ownership and Editing Rights
Heartbit ensures easy access to the Doctors by providing a tool to update your profile information. Heartbit reserves the right of ownership of all the Doctor’s profile and photographs and to moderate the changes or updates requested by Doctors. However, Heartbit takes the independent decision whether to publish or reject the requests submitted for the respective changes or updates. You hereby represent and warrant that you are fully entitled under law to upload all content uploaded by you as part of your profile or otherwise while using Heartbit’s services, and that no such content breaches any third party rights, including intellectual property rights. Upon becoming aware of a breach of the foregoing representation, Heartbit may modify or delete parts of your profile information at its sole discretion with or without notice to you.
5. Reviews, Feedback and Display Rights of Heartbit
5.1. Heartbit reserves the right to collect feedback and Critical Content for all the Doctors, Clinics and Healthcare Providers listed on Heartbit Platform.
5.2. Heartbit shall have no obligation to pre-screen, review, flag, filter, modify, refuse or remove any or all Critical Content from any Heartbit Platform, except when required by applicable law.
5.3. You understand that by using Heartbit Platform you may be exposed to Critical Content or other content that you may find offensive or objectionable. Heartbit shall not be liable for any effect on Doctor’s business due to Critical Content of a negative nature. In these respects, you may use Heartbit Platform at your own risk. Heartbit however, as an intermediary, takes steps as required to comply with applicable law as regards the publication of Critical Content.
5.4. If Heartbit determines that you have provided inaccurate information or enabled fraudulent feedback, Heartbit reserves the right to immediately suspend any of your accounts with Heartbit and makes such declaration on the website alongside your name/your clinics name as determined by Heartbit for the protection of its business and in the interests of Users.
6. Relevance Algorithm
Heartbit has designed the relevance algorithm in the best interest of Users and may adjust the relevance algorithm from time to time to improve the quality of the results given to the patients. It is a pure merit driven, proprietary algorithm which cannot be altered for specific Doctors. Heartbit shall not be liable for any effect on the Doctor’s business interests due to the change in the Relevance Algorithm.
7. Limitation of Liability
7.1. Heartbit is not to be held accountable for the individual behaviors of Users, for instance cancelling their appointment with you in a manner that may cause you inconvenience.
7.2. If a User fails to make payments, including cryptocurrency bounty bonuses that you make a claim to, you may not seek to be compensated in any way by Heartbit.
8. Measures against Breaches of Conduct
HEARTBIT, AT OUR SOLE DISCRETION AND WITHOUT ADVANCE NOTIFICATION, MAY IMMEDIATELY SUSPEND OR DELETE YOUR ACCOUNT WITH US, AND/OR CONFISCATE THE WHOLE SUM OF CRYPTOCURRENCY IN YOUR WALLET, SHOULD ANY OF THE FOLLOWING OCCUR OR BE DISCOVERED:
8.1. IF THE PERSONAL DETAILS YOU ENTERED WITH US AS A REGISTERED MEDICAL DOCTOR ARE FALSE (WHETHER BY A FALSE IDENTITY, NONEXISTENT OR ASSUMED FROM ANOTHER PERSON, OR BY A FALSE REGISTRATION THAT IS NOT IN ACCORDANCE WITH THE STATUTE OF THE NATION OF YOUR RESIDENCE);
8.2. IF YOU AS A REGISTERED MEDICAL DOCTOR HAVE TRANSFERRED THE RIGHTS TO YOUR ACCOUNT OR THE USE OF YOUR ACCOUNT TO A PERSON OR PERSONS OTHER THAN YOURSELF. TO USE OR YOUR ACCOUNT;
8.3. IF YOUR STATUS AS A REGISTERED MEDICAL DOCTOR, ALTHOUGH VALID AT THE TIME OF YOUR SETUP OF YOUR ACCOUNT AT HEARTBIT, HAS BECOME NULL DUE TO A CANCELLATION OR SUSPENSION FOR ANY REASON WHATSOEVER, BUT YOU HAVE CONTINUED YOUR ACTIVITIES ON HEARTBIT PLATFORM;
8.4. IF YOUR COMMENT MADE TO OR ABOUT A PATIENT OR PATIENTS CLEARLY CONSTITUTES HATE-SPEECH REGARDING THEIR PHYSICAL APPEARANCE, RACE, ETHNICITY, OR GENDER, ETC.;
8.5. IF YOU HAVE DISTRIBUTED OR ILLEGALLY UTILIZED ANY PRIVATE INFORMATION, VIDEOS OR IMAGES OBTAINED FROM A PATIENT;
8.6. IF, BY ANY INTENDED OR GROSSLY NEGLIGENT PRESENTATION OF FALSEHOOD, YOU HAVE CAUSED DAMAGES TO A PATIENT.
HEARTBIT IS NOT IN ANY WAY TO BE HELD ACCOUNTABLE FOR BEHAVIORS LISTED ABOVE, AND ANY ATTEMPT TO CLAIM OR RETRIEVE THE CONTENTS OF YOUR E-WALLET WILL BE MET WITH ACTIVE LAWSUIT ON OUR PART, NOT FAILING TO DISCOVER WHETHER YOUR BEHAVIOR IN QUESTION IS IN BREACH OF THE STATUTE OF YOUR RESIDING NATION, AND PRESSING CRIMINAL CHARGES WHERE POSSIBLE AND APPLICABLE.
IF WE ARE SUED BY A USER OR USERS ON HEARTBIT PLATFORM FOR REASONS ABOVE, YOU SHALL PAY ALL EXPENSES REQUIRED TO COMPLETELY ABSOLVE HEARTBIT OF ANY CLAIMS. THE SUM YOU WILL BE DEMANDED OF IN SUCH A CASE WILL INCLUDE, SHOULD HEARTBIT BE SUBJECTED TO LAWSUIT AND LOSE A CASE, THE REIMBURSEMENT FOR THE LOSS, AND ALL LEGAL EXPENSES INCURRED REGARDLESS OF THE OUTCOME IN COURT.
(ALL LEGAL EXPENSES SHALL INCLUDE ATTORNEY FEES. HEARTBIT WILL BE REPRESENTED BY THE BEST OF LAW FIRMS BASED IN SINGAPORE, WITH ITS EXCLUSIVE JURISDICTION OVER DISPUTES REGARDING HEARTBIT. HEARTBIT WILL ALSO TAKE THE SAME MEASURES IN ANY OTHER NATION OR REGION, AGAINST ANY LAWSUITS THAT MAY POSSIBLY BE PROCEEDED WITH DUE TO A BREACH OF JUS COGENS, IN SPITE OF SINGAPORE'S EXCLUSIVE JURISDICTION.)

HEARTBIT IS NOT IN ANY WAY TO BE HELD ACCOUNTABLE FOR BEHAVIORS LISTED ABOVE, AND ANY ATTEMPT TO CLAIM OR RETRIEVE THE CONTENTS OF YOUR E-WALLET WILL BE MET WITH ACTIVE LAWSUIT ON OUR PART, NOT FAILING TO DISCOVER WHETHER YOUR BEHAVIOR IN QUESTION IS IN BREACH OF THE STATUTE OF YOUR RESIDING NATION, AND PRESSING CRIMINAL CHARGES WHERE POSSIBLE AND APPLICABLE.
IF WE ARE SUED BY A USER OR USERS ON HEARTBIT PLATFORM FOR REASONS ABOVE, YOU SHALL PAY ALL EXPENSES REQUIRED TO COMPLETELY ABSOLVE HEARTBIT OF ANY CLAIMS. THE SUM YOU WILL BE DEMANDED OF IN SUCH A CASE WILL INCLUDE, SHOULD HEARTBIT BE SUBJECTED TO LAWSUIT AND LOSE A CASE, THE REIMBURSEMENT FOR THE LOSS, AND ALL LEGAL EXPENSES INCURRED REGARDLESS OF THE OUTCOME IN COURT.
(ALL LEGAL EXPENSES SHALL INCLUDE ATTORNEY FEES. HEARTBIT WILL BE REPRESENTED BY THE BEST OF LAW FIRMS BASED IN SINGAPORE, WITH ITS EXCLUSIVE JURISDICTION OVER DISPUTES REGARDING HEARTBIT. HEARTBIT WILL ALSO TAKE THE SAME MEASURES IN ANY OTHER NATION OR REGION, AGAINST ANY LAWSUITS THAT MAY POSSIBLY BE PROCEEDED WITH DUE TO A BREACH OF JUS COGENS, IN SPITE OF SINGAPORE'S EXCLUSIVE JURISDICTION.)
